Security We have been doing significant work on public offerings of securities representing issuers (both in the public sector and in the private sector), managers, underwriters, trustees and subscribers. We have advised a leading bank on the pioneering listing on a European securities exchange of debt securities the proceeds of which will count as Tier II capital under the Basle rules. Our most recent work includes advising on the first-ever listing of the shares of a telecommunications operator in Nigeria and on the largest-equity offering ever in sub-Sharan Africa involving listing the shares of a bank-holding company in three countries. We have advised on the nation's first-ever public offering of mortgage-backed securities as solicitors to the issuing house. This offering, involving a complex master trust structure, is by far the nation's most ambitious public offering of debt securities ever. We also understand that this seminal offering, projected to lead to the proliferation of securitization offerings, is the largest-ever offering of mortgage-backed securities on the African continent. We are advising the would-be sponsors of pioneering securitization programmes for commercial real estate receivables, retail foreign currency inflows into Nigeria and the local receivables of a quick-service restaurant chain. We have advised on one of the largest-ever equity offerings with both rights and offer for subscription elements by a Nigerian issuer, a publicly-listed bank. For this issuer we also advised on a global depository receipt offering -- one of three global depository receipt offerings that we have advised on. We have advised on what was at the time the largest-ever bond offering by a State Government, an offering complicated by nice issues of the extent to which the Federal Government is responsible for that State Government’s hard-currency debts to foreign lenders. We have advised on the first-ever initial public offerings of shares in four sectors of the economy: an upstream petroleum company; a hotel-owning company; an owner/operator of marine vessels; and a lottery operator. |
