Kanzullahi has advised on some significant transactions and represented clients in international and local arbitrations and superior courts in Nigeria. His experience includes:

  • Advised Titan Trust Bank on its acquisition of the majority shares in Union Bank of Nigeria Plc, one of the oldest and biggest banks in Nigeria and currently advising Titan Trust Bank and Union Bank of Nigeria Plc in disputes before several courts attempting to set aside the transaction;
  • Advised Destrier Limited on its investment of up to USD15,000,000 in its holding company (Ashwah Holdings Limited) by Deutsche Investitions- und Entwicklungsgesellschaft mbH (DEG);
  • Advised Pan African Towers Limited (PAT), one of Nigeria’s leading telecommunication companies, on Chapel Hill Denham’s combined equity and debt investment of up to USD100,000,000 in PAT;
  • Advised AIICO Insurance Plc on the sale of its equity holding in one of its major subsidiaries, AIICO Pensions Limited in a transaction of up to N10,000,000,000 in value;
  • First Bank of Nigeria Plc on the sale of its equity holding in Airtel Nigeria Plc (a leading telecommunication company in Nigeria) in a deal worth approximately N60,000,000,000;
  • Advised Zamara Group’s Nigerian subsidiary ahead of Amethis’ acquisition of up to 60% of Zamara Group’s shareholding.
  • Advised Radix Pension Managers Limited on the acquisition of circa 80% of Radix Pension Managers Limited by MBO Capital Management Limited;
  • Advising mPharma on its acquisition of the majority shareholding in HealthPlus Africa;
  • A member of the team that successfully represented Zhongshan Fucheng Industrial Investment Co. Ltd. against the Federal Republic of Nigeria in an international arbitration before the International Centre for Settlement of Investment Disputes with respect to the development of the infrastructure at a Free Trade Zone in Nigeria wherein we won an award of circa USD60,000,000 in favour of the client;
  • A member of the team that successfully represented Alpha Beta Consulting LLP, a leading payments services and technology consulting firm, in a series of over 10 disputes cases filed by its former Managing Director and a founding equity investor, arising from the proceeds of the technology used to improve the internal revenue generation of Lagos State from NGN10bn per annum to NGN300bn per annum within fifteen (15) years;
  • A member if the team currently representing UACN Property Development Company Plc, Nigeria’s leading real estate developer, in three separate litigations and arbitrations instituted by its contractor, United Integrated Construction Limited on allegations of several breaches of construction contracts in respect of three developments worth over Twelve Billion Naira (circa USD30,000,000); and
  • A member of the team representing FBN Holding Plc, the holding company for one of Nigeria’s systematically important banks – First Bank of Nigeria Limited, in an action by a shareholder of FBN Holding Plc seeking to set aside all the resolutions passed at the 2022 Annual General Meeting of FBN Holdings Plc.
