Experience

Oluwaseyi has acquired experience advising on taxation law, corporate law, and capital market transactions. He has also provided legal representations to clients on the resolution of disputes through litigation and arbitration. Among others, Oluwaseyi has worked with a team of lawyers in the firm to advise:

  • on the tax structure of a joint venture seeking to invest in a real estate development in Nigeria;
  • a foreign pharmaceutical company on its direct and indirect acquisition of shares in a leading pharmaceutical company in Nigeria;
  • a research and development company on the tax implication of payment of commission to its management staff;
  • a Nigerian financial institution and a free trade zone company on their balance sheet restructuring;
  • on share buyback, allotment of shares, and cancellation of shares by companies;
  • a Nigerian food production company on the treatment of its outstanding dividends payable to foreign shareholders to address the challenge of scarcity of foreign exchange in Nigeria;
  • on the taxation of income derived from the provision of virtual services by a resident in Nigeria; 
  • on bonds and commercial papers issuances to raise funds in the debt market;
  • a financial service company to appeal against the judgement of the Tax Appeal Tribunal for affirming the liability to pay the tax assessed by the Federal Inland Revenue Service;
  • a trade organization and its member companies against the imposition of excise duties by the Minister of Finance, Budget and National Planning;
  • two commercial banks in Nigeria on a claim to set aside the acquisition of a 93.41% equity stake;
  • a foreign company in an arbitration arising from a failed investment in a major telecommunication company in Nigeria;
  • telecommunication and construction companies to defend passing off claims; and
  • defendants to appeal against death sentences on a pro bono basis.
