Amanda Opara is a Senior Associate in the firm. Her practice includes bilateral and syndicated (bank) lendings, debt and equity capital market offerings, derivatives and other structured products, acquisition financing, project financing, mergers and acquisitions. Amanda regularly advises global banks, development financial institutions, multilateral financial institutions, Nigerian banks, financial institutions and corporates. Her sector experience includes development finance, commercial banks, investment banking, financial services, private equity, financial technology, consumer goods, manufacturing, energy (power, oil and gas, renewable energy), real estate, healthcare and agribusiness.

She has been recognized as a “Rising Star” by the International Financial Law Review in its ranking for leading financial and corporate lawyers in Nigeria.

Amanda advises local and international clients on innovative and complex Nigerian and cross-border deals with significant market impact. Some of the deals she has advised on include:

  • Advising a development financial institution on its US$ 300 million intra-African trade investment finance facility to a leading Nigerian financial institution.
  • Advised a Nigerian conglomerate on the US$ 200 million corporate finance facility advanced to one of its group companies by a development financial institution, to finance the construction and development of a sugar refinery and ethanol plant.
  • Advised on the rollover of a circa US$ 2 billion cross-currency interest rate swap transaction between a global bank and a financial institutions’ regulator.
  • Advised a Nigerian bank on its 93.4% acquisition of shares in a publicly quoted Nigerian bank, including advising on the US$ 300 million acquisition debt financing which it obtained from a development financial institution.
  • Advised Nigeria’s largest telecommunications company on its N478.2billion equity programme and the series 1 offer for sale of shares by its majority shareholder;
  • Advised a New-York based venture capital firm on its first investment (series A financing) in an African start-up that offers digital financial services.
  • Advised a syndicate of local and international lenders on their proposed US$ 271 million facility (forward sale financing) to a leading marginal field developer.
  • Advised on the largest corporate bond issuance in the Nigerian debt capital market.
  • Advised an impact investment company, affiliated with a global oil exploration and production company, on its investment in Nigeria’s first indigenous assembler of solar panels.
  • Advising a Nigerian state government on its circa N15 billion green bond issuance.
